PrismTech Acquires Zeligsoft’s Tools Business

Gatineau, QC, Canada and Boston, MA, USA - October 26, 2010 - Zeligsoft, a leading vendor of model-based development tools for embedded software systems, today announces that it has sold its software development tool business to PrismTech^TM, a global leader in standards-based, performance-critical middleware. The transaction follows on from a successful partnership agreement signed in July 2009 that created Spectra CX, which is now the most widely used SCA-compliant development tool by SDR developers.

This transaction coincides with the strategic decision taken by Zeligsoft to concentrate its resources on R&D activities and work in partnership with market leaders to productize and commercialize the resulting technologies in the different markets.

With this transaction, PrismTech becomes Zeligsoft's premier strategic technology partner. This strategic partnership will allow creating synergy between PrismTech's expertise in embedded platform middleware with Zeligsoft's expertise in Model-Based Engineering (MBE) tools and methodologies. Zeligsoft and PrismTech have signed a long-term R&D service agreement in which Zeligsoft becomes PrismTech's "virtual" Center of Expertise for Model-Based Engineering and Development Tools. In this context, Zeligsoft will continue to lead the development of the tool technology that will be productized and commercialized by PrismTech. Zeligsoft will also work in close relationship with PrismTech to ensure customer satisfaction and market success of the resulting model-based engineering technology and products.

Following this transaction, Zeligsoft remains an independent corporation that is 100% owned by Zeligsoft employees. Both PrismTech and Zeligsoft will continue to work with their third-party partners.
